We advise all types of clients (public and private), acting as buyers or sellers, on a wide range of transactions; both in terms of its scope (national and international), the business sector involved and the amount of the transaction. We provide comprehensive advice (from start to finish); we string along with our clients, taking part in all steps, from the initial negotiations to the closing of the transaction, including the legal review process and the analysis of contingencies ("Due Diligence") and the drafting of contracts and other essential documents of the transaction.
We have participated in the acquisition, merger and spin-off of all types of companies, as well as in the acquisition and sale of businesses, assets (movable and real estate) and productive units on the occasion of numerous transactions of varying complexity and volume, in different business sectors. INSOLVENCES AND RESTRUCTURING
In life, both for individuals and companies, there are good times and bad times. In good times, we celebrate with our clients and, in bad times, we work to ensure that our clients can overcome them successfully. We help our clients to refinance, restructure or start a new phase by resetting the counter to zero.
We specialise in providing practical solutions to complex problems in different crisis scenarios for both companies and individuals. We provide comprehensive legal advice to creditors to help them collecting their claims and defend their rights. We also advise debtors on how to protect their businesses and minimise their liability in case of insolvency. We design and implement preventive strategies in pre-insolvency and insolvency scenarios. We help our clients refinancing and restructuring in order to avoid insolvency situations or, where appropriate, to mitigate the consequences of business crises. We also advise clients on the acquisition of assets or production units of companies in distress.
We have participated in some of the most relevant insolvency proceedings in Spain, as well as in some of the most complex and important refinancing and restructuring proceedings, which has led some of the most important specialised directories in the sector to recognise some of our lawyers among the "Names to know in Spain" (Global Restructuring Review, 2020).

AND REGULATED SECTORS
We know the Public Administration, we understand how it works and the specific rules of the regulated sectors, and for this reason we assume the defense of the rights and interests of the our clients.
We provide specialized legal advice to all types of public and private entities, as well as to individuals, in all kind of areas of the regulated sectors. We regularly prepare legal reports and legal opinions relating to different matters.
We have intervened in several administrative proceedings and contentious-administrative proceedings (in all instances —including the Supreme Court and the Constitutional Court, respectively—); mainly, related to Public Administration Liability; sanctioning procedures; public procurement (drafting of reports and documents on public tenders, drafting of tender specifications and conditions and, where appropriate, challenge, interpreting or terminating public sector contracts); disputes relating to economic-financial rebalancing and contractual liability arising from public procurement; concessions, licenses and administrative authorizations; public aid and subsidies; town planning and environmental procedures; accounting liability; access to the public function and expropriation proceedings, among others.
